1. Acceptance of Terms

By accessing or using https://cynex.abdulmanan.online (the "Website"), commissioning custom engineering or design services, or downloading any open-source or commercial digital products offered by CYNEX Studio ("CYNEX," "we," "us," or "our"), you agree to be bound by these Terms and Conditions.

2. About CYNEX Studio & Scope of Services

CYNEX Studio is a founder-led creative web engineering and AI automation studio founded by Abdul Manan (CH Manan). Clients may engage us for a complete turn-key platform build or a single modular upgrade, including:

• Custom Next.js, React, and full-stack web engineering
• E-Commerce storefronts with itemized WhatsApp and card checkout
• 1-click Owner Admin Dashboards, bulk pricing tools, and client portals
• 24/7 trained AI sales concierges and automated lead routing
• Website redesigns, 60fps motion UI, speed optimization, and Google Search (SEO) indexing
• Custom @yourdomain.com business email setup, SSL/DNS security hardening, and cloud deployment

3. Proposals, Milestones & Payment Terms

Every custom project is governed by a written project scope or proposal specifying the deliverables, timeline, and fixed milestone pricing (quoted in USD, PKR, or agreed local currency). Unless otherwise stated in writing, custom builds commence upon receipt of the agreed initial milestone deposit, with final production deployment and source-code handover completed upon settlement of the final milestone.

4. Revisions & Scope Modifications

All service engagements include structured design and staging review cycles to ensure the final platform matches agreed specifications. Requests for new features, additional pages, or architectural changes outside the original written scope are quoted transparently and approved by the client before additional billable work begins.

5. Intellectual Property & 100% Client Ownership

Upon full payment of the agreed project fee, the client receives full ownership of the custom website codebase, bespoke UI designs, database schemas, and domain deployments created specifically for their project, with zero vendor lock-in. CYNEX Studio retains ownership of its pre-existing open-source libraries, reusable internal utilities, and general engineering know-how, granting the client a perpetual, worldwide, royalty-free license to use them within their delivered platform. Unless restricted by a signed Non-Disclosure Agreement (NDA), CYNEX Studio may showcase publicly launched work and performance outcomes in its portfolio.

6. Digital Products, Starter Kits & Open-Source Tools

Tools and repositories marked as "Open Source" or "Free Tool" in our Products Hub are governed by the license included in their respective GitHub repository. Commercial starter systems and templates grant the purchaser a license to build and deploy end-client or company websites, but may not be resold, redistributed, or republished as competing template products.

7. Third-Party Platforms & Services

Client solutions may integrate with third-party platforms and APIs (such as Cloudflare, Vercel, Firebase, Cloudinary, Shopify, WordPress, Wix Studio, Framer, Google Workspace, WhatsApp, or AI model providers). While we configure these integrations following best practices, CYNEX Studio is not liable for upstream pricing changes, API modifications, or service outages imposed by third-party providers.

8. Post-Launch Warranty & Limitation of Liability

Every custom build includes a post-launch support window to resolve any technical bugs in the delivered scope at no additional charge. To the maximum extent permitted by applicable law, CYNEX Studio shall not be liable for indirect, incidental, or consequential damages, and our total aggregate liability under any engagement shall not exceed the total fees paid by the client for the specific service or product giving rise to the claim.

9. Governing Law & Dispute Resolution

These Terms and Conditions are governed by the applicable laws of Pakistan. Both parties agree to first attempt to resolve any contractual or technical dispute amicably through direct written communication before pursuing formal legal remedies.
